1. Introduction

Welcome to Cipher MuteX. These Terms and Conditions (“Terms”) explain how you may access and use our services and products (“Services”). By registering, accessing, or using our Services, you agree to be bound by these Terms along with our Privacy Policy.

In this Agreement:

• “Cipher MuteX”, “we”, “our”, or “us” refers to Cipher MuteX Pvt. Ltd.
• “Client”, “you”, or “your” refers to the individual or business using our Services.

By moving forward with us, you acknowledge that you've read, understood, and agreed to these Terms.

2. General Terms

• These Terms replace any previous agreements or understandings.
• Advance payment or use of our Services confirms your acceptance of these Terms.

3. Acceptance

No physical signature is required for these Terms to apply. By accepting a proposal, quotation, or using our Services, you confirm that you agree with these Terms and Conditions.

We recommend you read them carefully. Any use of our Services will be considered as your acceptance.

4. Fees & Payments

• All fees are outlined in the project quotation sent via email. Quotes remain valid for 30 days.
• Unless agreed otherwise, we require 50% upfront payment before starting any project. The remaining 50% is due on completion, before delivery or launch.
• Payments can be made via bank transfer or cheque (details will be provided on invoices).

5. Project Timelines & Content

• Cipher MuteX will deliver projects within the timelines agreed in the proposal, provided we receive the required materials and approvals on time.
• The Client agrees to nominate a single point of contact to ensure smooth communication.
• The Client is responsible for providing all required content (text, images, videos, etc.) needed to complete the project.

6. Termination

• Any request to terminate services must be made in writing (email or letter). Verbal/phone requests won't be accepted until confirmed in writing.
• If you cancel, you will be invoiced for the work completed up to that point, payable within 30 days.

7. Copyright & Ownership

• The Client retains copyright of all materials they provide (text, logos, images, etc.) and grants Cipher MuteX the rights to use them for the project.
• The Client is responsible for ensuring that all provided content is licensed and legally usable. Cipher MuteX will not be held liable for any copyright issues arising from Client-provided materials.
• Cipher MuteX reserves the right to showcase the completed project in our portfolio unless otherwise agreed.

8. Access Requirements

If a website or project is hosted on a third-party server, the Client must provide Cipher MuteX with the necessary access (e.g., FTP, database, or admin credentials) to complete the work.

9. Indemnity

Our Services must only be used for lawful purposes. The Client agrees to indemnify and hold Cipher MuteX harmless from any claims, damages, or liabilities that may result from misuse of our Services.

10. Additional Costs

The Client agrees to cover any extra costs required for the project. Examples include: premium plugins, stock images, paid fonts, or third-party services.

11. Design Credit

A small credit link (“Designed by Cipher MuteX”) may appear at the bottom of the Client's website. This link will be discreet and aligned with the design.

12. Post-Delivery Changes

Cipher MuteX cannot be held responsible for changes or damage caused by third parties after the project has been delivered (e.g., additional modifications, deletions, or external edits).

13. Governing Law

These Terms and the relationship between Cipher MuteX and the Client will be governed by the laws of India.
